Zodi Dealer Agreement Reseller Terms & Conditions

Payment Terms for Opening Order - All opening orders with completed credit application requires prepayment. With approved credit application Net 30 terms apply with second order. All International orders are prepaid.

Minimum Order – All orders are required to fill case/quantity as listed on the most current Zodi wholesale price list (with the exception of drop ship orders.)

Credit Terms - With approved reseller credit application, reseller is extended payment terms and wholesale pricing on Zodi products. By purchasing Zodi products at wholesale pricing, reseller agrees to comply with the Zodi Reseller Terms and Conditions. Resellers who fail to pay within the set term period from merchandise shipment FOB Midvale Utah, are placed on credit hold and all new or existing orders will not ship until full payment against total outstanding balance is paid. Unpaid balances past 60 days may be turned over for legal collection at Zodi discretion. Accounts past 60 days automatically disqualify for payment terms and all current and future orders must be prepaid after outstanding balance has been paid in full. Zodi will charge 18% interest on all past due invoices. All international orders are prepaid. Credit application must include copy of business license or federal Reseller Tax ID number.

FOB - All freight is shipped FOB Midvale Utah. Zodi will ship using your preferred carrier if carrier account number, carrier name and contact number is noted on PO. If no preferred carrier is listed on PO, Zodi will ship freight on Zodi’s preferred carrier at posted freight charges.

Freight Claims - Freight shortages or damage claims must be made directly with Freight Company. Zodi responsibility is transferred to Freight Company when Zodi loads freight onto freight truck. If shortage or damage is noticeable, shortage or damage needs to be specified at time of receipt and file claim with Freight Company. If damage is concealed, you must notify carrier immediately and file claim report with Freight Company. Do not discard box as carrier may need to inspect box for claim to be processed.

Warranties - Zodi products are warranted for 1 year to original buyer providing sale was made from authorized Zodi reseller. Customers who purchase product from unauthorized Zodi resellers are not covered with Zodi product warranty. Zodi does not warrant product that has been abused by consumer, found to be operated other then intended design purposes and/or not operated in compliance with Zodi printed directions. Copyright Art & Text - All text and art in the Zodi catalog and on the Zodi web site are copyrighted and for the exclusive use of Zodi. Approved resellers in good standing may use art and text found in the dealer section of the Zodi web site. Use of this art and text is reserved only for authorized resellers. Authorized resellers are those with a signed credit application on file with Zodi, current on Zodi Dealer Agreement all invoices and in compliance with reseller terms and conditions and other agreements as posted on factory web site including all posted amendments. Non-authorized resellers will be prosecuted for any use of Zodi copyrighted material.

Internet Auctions - Zodi products are only distributed through authorized resellers. Any reseller found reselling Zodi products on any internet auction site below MAP will lose reseller status.

MAP - Zodi products are only distributed through authorized resellers. Reseller found advertising products below the Zodi MAP will lose reseller status.

Drop Ship - Zodi drop ship program is available to any authorized reseller in good standing. Drop shipments are process and shipped within 48 hours of receiving written PO from reseller unless item is backordered in which case, reseller will be notified. All drop ship orders must be prepaid with reseller credit card. Payment Terms do not apply for drop-shipments. Drop shipments are limited to USA addresses only. Flat UPS charges as listed at UPS.com plus a $5.00 per address fee will apply. All invoices for drop shipments are calculated from current Zodi wholesale price list - drop ship orders are not available for other discounts or promotions. Returns - Zodi guarantees our products will perform as advertised. Customers must return product to Zodi for repair or replacement within 90 days (at Zodi discretion). Resellers are not authorized to “swap out” defective item with new item. Customer must also be directed to Zodi to troubleshoot product. We are able to correct 90% of customer concerns

Restock - Zodi charges a 20% restock fee on any new product returned to Zodi for a credit. Product must be returned in unopened and undamaged box. Freight to Zodi must be paid by reseller. If product was shipped to reseller on special shipping promotion, the original outbound shipping amount will be deducted from credit. All returns are applied as reseller credit for 12 month period. RA number must be attached to all boxes - call 1-800-589-2849 (or 801-255-6418) for RA number. Request for RA number must occur within 30 days of item shipping from Zodi, and product must be received by Zodi within 30 days of the RA being issued. All returns must require signature for confirmation of receipt at Zodi. Special make-up or private label orders cannot be returned.

Confidential Information - All pricing given by Zodi to its customers/resellers is confidential and will NOT be shared with anyone, except its direct employees who have a need to know the Confidential Information. Pricing will NOT be shared with any Zodi customer or any third party. All information provided by Zodi is owned exclusively by Zodi. Zodi resellers/customers shall protect the Confidential Information to the extent it protects its own data from unauthorized disclosure, including without limitation shredding, or destroying all erroneous, superfluous or otherwise unneeded tangible embodiments of the Confidential Information.
